1) Acceptance of Terms

These Terms & Conditions (“Terms”) govern your access to and use of the Hypermatics services, including the Pro Ladder, model readouts, downloadable PricePoint PDFs, interactive charts, and related content (collectively, the “Services”), provided by RatioLock (“we,” “us,” or “our”). By accessing or using the Services, you agree to these Terms and to our Privacy Policy.

2) Eligibility & Accounts

You must be legally able to enter into these Terms and comply with all applicable laws. Certain features are available only to registered, paid members. You are responsible for your account credentials and any activity under your account.

3) Description of the Services

The Services provide model-based market analytics and visualizations for digital assets. Key components include:

• Pro Ladder & Drawer: a model readout for a selected asset at a point-in-time price.
• PricePoint PDFs: printable, single-price snapshots of the same model outputs.
• Curve & Candles: interactive visuals illustrating lifecycle curve behavior and simple candle sequences.

Unless we state otherwise in writing, the Services are educational and informational only and are not a recommendation or an offer to buy/sell any asset.

4) No Investment, Legal, or Tax Advice

We are not an investment adviser, broker, exchange, or fiduciary. The Services do not constitute investment, legal, accounting, or tax advice. Markets are volatile and you can lose all capital. Past performance does not guarantee future results. Always do your own research.

5) Data Sources & Model Disclosures

Certain inputs used by the model are sourced from third parties. Unless otherwise noted, the following fields are derived from CoinGecko or your manual overrides:

• Circulating Supply
• Baseline Price (p₀)
• Baseline Date

Attribution: Circulating Supply, Baseline Price, and Baseline Date © CoinGecko. Market Cap (Live) is computed as Live Price × Circulating Supply. We may cache or normalize data; third-party data may be delayed, incomplete, or inaccurate.

Model Formulas (for transparency)

• Fraction sold: f = 1 − √(p₀ / p)
• Implied Coins Sold: S · f
• Implied Coins Remaining: S − (S · f)
• Cumulative USD In (model): S · p₀ · (√(p/p₀) − 1)

Important: “Implied” metrics are model-based inferences from price and a fixed reference supply; they are not on-chain ledger counts and may differ from other vendors’ methodologies.

6) Memberships, Billing & Refunds

• Paid tiers: Some features require an active, paid membership (e.g., Level 4 access).
• Auto-renewal: Subscriptions renew automatically each billing period unless cancelled prior to renewal.
• Trials/Promotions: If offered, they convert to paid plans unless cancelled before the trial ends.
• Refunds: Unless required by law or explicitly stated on the checkout page, all fees are non-refundable.
• Taxes: Prices exclude applicable taxes, which you are responsible for.

7) Acceptable Use

You agree not to: (a) scrape, spider, or bulk-download our content; (b) circumvent paywalls or membership gates; (c) resell, sublicense, or republish the Services or PDFs without written permission; (d) reverse-engineer or copy our models; (e) upload malicious code; (f) misrepresent the Services as investment advice.

8) Intellectual Property

The Services, including all site content, models, code, PDFs, designs, and brand elements are owned by RatioLock or our licensors and protected by law. All third-party trademarks and logos are the property of their respective owners and used for identification only. Unless explicitly permitted, you may not copy, modify, distribute, or create derivative works from our content.

9) Logos & Media

Asset logos displayed in the Services may be hosted by us or provided by third parties (including CoinGecko). Where we use CoinGecko-supplied images, we credit CoinGecko. Hosting logos locally does not transfer any rights in those marks. If you are a rights holder and wish to request removal or changes, contact us at Info.

10) Third-Party Services

We may rely on third-party tools (e.g., payment processors, analytics, data providers). Their terms and privacy policies govern your use of those services. We are not responsible for their actions, outages, or data accuracy.

11) Changes, Availability & Support

We may change, suspend, or discontinue any part of the Services at any time. We strive for uptime but do not guarantee availability. Support is provided on a commercially reasonable basis via Info.

12) Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. DATA AND OUTPUTS MAY CONTAIN ERRORS OR OMISSIONS.

13) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL; OR FOR TRADING LOSSES ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES. OUR AGGREGATE LIABILITY FOR ALL CLAIMS WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO US IN THE 3 MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM.

14) Indemnification

You agree to indemnify and hold us harmless from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Services or violation of these Terms.

15) Termination

We may suspend or terminate your access at any time for any violation of these Terms or for risk, legal, or operational reasons. You may cancel your membership at any time through your account portal or by contacting support.

16) Governing Law & Dispute Resolution

These Terms are governed by the laws of Victoria, Australia, excluding any rule of private international law that would result in the application of the laws of another jurisdiction. The courts of Victoria and the Federal Court of Australia (Melbourne Registry) have exclusive jurisdiction over any dispute arising in connection with these Terms, unless otherwise required by law.

Australian Consumer Law. Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy you may have under the Australian Consumer Law or similar legislation that cannot lawfully be excluded. If you are a consumer, you may also bring a claim in a small-claims tribunal in your state or territory (including, where applicable, the Victorian Civil and Administrative Tribunal (VCAT)).

17) Export, Sanctions & Restricted Use

You may not use the Services if you are subject to sanctions or in jurisdictions where use is prohibited. You agree to comply with applicable export and sanctions laws.

18) Changes to These Terms

We may update these Terms from time to time. The “Last updated” date will change when we do. Your continued use after changes constitutes acceptance.
